  • Our services are provided on a project basis or through ongoing support agreements.
  • Service specifications and deliverables are detailed in separate project agreements or statements of work.

3User Responsibilities

  • You are responsible for providing accurate and complete information required for service delivery.
  • You must provide timely feedback and approvals as requested during project development.
  • You are responsible for maintaining the confidentiality of any login credentials or access information we provide.
  • You agree not to use our services for any unlawful or prohibited activities.
  • You must respect intellectual property rights and not infringe on third-party rights.

4Payment Terms

  • Payment terms are specified in individual project agreements or invoices.
  • Unless otherwise specified, payments are due within 30 days of invoice date.
  • Late payments may incur interest charges as specified in project agreements.
  • We reserve the right to suspend services for overdue payments.
  • All prices are subject to applicable taxes and fees.

5Intellectual Property Rights

  • Upon full payment, clients receive ownership of custom-developed code and content specifically created for their project.
  • Zentrox retains ownership of proprietary tools, frameworks, methodologies, and pre-existing intellectual property.
  • Third-party software and services are subject to their respective license agreements.
  • We may use general knowledge and experience gained during projects for future work.
  • Clients grant us the right to showcase completed work in our portfolio unless otherwise agreed.

6Confidentiality

  • We maintain strict confidentiality regarding all client information and project details.
  • Non-disclosure agreements may be executed for projects involving sensitive information.
  • We implement appropriate security measures to protect confidential information.
  • Confidentiality obligations survive the termination of our service agreement.
  • We may disclose information only when required by law or with explicit client consent.

7Project Delivery and Acceptance

  • Project timelines and milestones are specified in individual project agreements.
  • We make reasonable efforts to meet agreed-upon deadlines, but timelines may be affected by factors beyond our control.
  • Client feedback and approval are required at specified project milestones.
  • Final acceptance of deliverables is confirmed through client sign-off or deemed accepted after reasonable review period.
  • Change requests may affect project timelines and costs.

8Warranties and Disclaimers

  • We warrant that services will be performed in a professional manner consistent with industry standards.
  • We provide a warranty period for bug fixes as specified in project agreements.
  • Services are provided 'as is' without warranty of any kind beyond what is explicitly stated.
  • We do not warrant that services will be error-free or meet all client requirements.
  • Third-party software and services are subject to their respective warranties and disclaimers.

9Limitation of Liability

  • Our liability is limited to the total amount paid by the client for the specific services that gave rise to the claim.
  • We are not liable for indirect, incidental, consequential, or punitive damages.
  • We are not responsible for data loss, business interruption, or loss of profits.
  • Clients are responsible for maintaining backups of their data and systems.
  • Our liability does not extend beyond the direct services we provide.

10Termination

  • Either party may terminate the service agreement with written notice as specified in the agreement.
  • Upon termination, clients remain responsible for payment of services rendered up to the termination date.
  • We will provide reasonable assistance in transitioning ongoing projects to the client or another provider.
  • Certain provisions of these terms survive termination, including payment obligations and confidentiality.
  • Termination does not affect rights and obligations that accrued before termination.

11Dispute Resolution

  • We encourage resolving disputes through direct communication and negotiation.
  • If direct resolution fails, disputes will be resolved through binding arbitration.
  • Arbitration will be conducted according to applicable dispute resolution procedures.
  • The prevailing party in any dispute may be entitled to recover reasonable attorney fees.
  • These terms are governed by the laws of Pakistan.

12General Provisions

  • These terms constitute the entire agreement between parties regarding the subject matter.
  • If any provision is found to be unenforceable, the remaining provisions remain in full force.
  • We may assign our rights and obligations under these terms to third parties.
  • No waiver of any term or condition is effective unless in writing and signed by both parties.
